NZ Showcase USA Inc has released a Private Placement Memorandum, (PPM),to support its NZD800k / USD480k Series A Round.
The PPM is for the issue of 800,000 Common Voting Shares priced at NZD1 / USD0.60c each.
The placement comprises 80 parcels of 10,000 shares. 40 of these parcels have been allocated to NZ "angels" whose role is to source Agribiz Sanctuary Plus (ASP) investments in NZ for listing in the US Showcase

40 parcels have been allocated for placement with US "angels" who will market the Showcase listed ASP's to US investors.
Upon closing of the Series A as a fully subscribed Round, Northland Angels Ltd will own 48^% of the US Showcase, including land and buildings on a premium site in the Ft Lauderdale yachting/marina precinct.
All Showcase profit will pass-through, tax free at US source to the Showcase Sponsor angels.
The year two, pass-through income on an NZD10,000 Showcase Sponsor parcel is an ROI forecast of 165%.
In the first 30 weeks of operation, my target is to close 5 ASP deals in regional NZ with an average value of USD3M per deal delivering NZD30M in US sanctuary capital inflow into NZ.
Packaged as a bundled "ASP" investment, the capital will go to NZ agribiz sanctuary vendors with USD16M actively channeled directly into 20 post-seed capital stage, regional NZ agribiz / agritech companies with proof of concept but needing circa NZD1.25M in Pre Series A growth / Angel capital.
As an American who has lived in NZ for 8 years in the 80's, early 90's and now, another eight years on my "Tribal" project, I know a thing or two about NZ and the challenges of assimilation into NZ society.
